The terms that govern your use of the Brickfield platform and the beta design-partner program.

These terms cover the license to use Brickfield, what the beta program includes (and does not include), the no-investment-advice disclaimer, the AI-output limitations, the liability cap, and how to reach us. By using the platform you agree to them.

1. Acceptance of terms

By accessing, submitting to, or otherwise using the Brickfield platform — including the waitlist signup on the home page, the beta design-partner application on /beta, the deal analysis workflow on /analyze, and the portfolio listing on /portfolio — you agree to these Terms of Service. If you do not agree, do not use the platform. For how we handle personal data submitted through these pages, see our Privacy Policy.

2. Use license

Subject to your acceptance of these terms, Brickfield grants you a limited, non-exclusive, non-transferable, revocable license to use the platform during the beta for your own internal CRE underwriting evaluation. This license covers submission of deal briefs through /analyze and listing of your firm's portfolio through /portfolio; it does not extend to any of the following without our prior written consent:

  • Reverse-engineering, decompiling, or otherwise attempting to extract the source, prompts, or model weights behind the analysis pipeline.
  • Scraping or systematically harvesting analysis outputs from the platform.
  • Reselling, sublicensing, or redistributing raw outputs to a third party.
  • Using outputs (or derivative work) to train, fine-tune, or otherwise improve a competing CRE underwriting model.

3. Beta program terms

The beta design-partner program is governed by the following terms:

  • Application. Beta applications are submitted at /beta. Acceptance into the program is at Brickfield's sole discretion, based on fit with the partner profile, deal-flow volume, and program capacity.
  • Provided as-is / as-available. The beta platform, including deal analysis, portfolio workflows, configuration tooling, and the IC memo output format, is provided "as-is" and "as-available." Features may change, be removed, or break without notice. There is no service-level commitment, uptime guarantee, or enterprise-grade support tier during the beta.
  • Best-effort support. Direct Slack access to the founding team is the primary support channel, and is provided on a best-effort basis during business hours.
  • Nurture sequence. Applicants accepted into the beta receive the four-step email_sequence nurture run by the scheduled cron jobs in services/email-sequence, beginning from the confirmation sent at signup. Reply STOP to any sequence email to opt out without deleting your signup.

4. No-investment-advice disclaimer

The outputs produced by the Brickfield platform — including market analysis, financial models, risk assessments, and the IC-ready memo — are generated by an AI model for internal evaluation only. They are not investment, legal, tax, or accounting advice, and they are not a recommendation to buy, hold, or sell any specific asset. You are responsible for performing your own due diligence and for consulting licensed professionals (broker, attorney, accountant) before acting on any underwriting decision. No fiduciary, advisory, broker-dealer, or agency relationship is created between you and Brickfield by your use of the platform.

5. Outputs, accuracy, and AI limitations

Analysis is generated by gpt-4o-mini via OpenAI using the prompts configured in services/analysis.js. AI-generated content may contain errors, omissions, stale data, hallucinated comparables, or reasoning that does not hold up under expert review. Brickfield does not warrant the accuracy, completeness, currency, or fitness for any particular purpose of any output, and you rely on outputs at your own risk. Always independently verify cap rates, comps, debt quotes, rent rolls, and any figure that drives an investment decision.

6. Intellectual property

Brickfield retains all right, title, and interest — including all intellectual-property rights — in the platform, the analysis pipeline, the prompts and models that drive it, the generated outputs, the UI, and the brand. You retain all right, title, and interest in the deal inputs (address, brief text, portfolio data) that you submit to the platform. By submitting deal inputs, you grant Brickfield a limited license to process those inputs through the pipeline and to produce outputs for you during the beta.

7. Prohibited use

You agree not to use the platform for any of the following:

  • Any activity that violates applicable local, state, national, or international law or regulation.
  • Any attempt to overload, flood, or otherwise degrade the analysis pipeline (e.g. automated submission at a rate materially above human review).
  • Any attempt to extract the system prompt, model weights, underlying training data, or other proprietary configuration from the platform.
  • Resale, republication, or redistribution of raw analysis outputs to a third party other than for your own internal evaluation.
  • Use of the platform to underwrite, broker, or transact in any asset on behalf of a third party where you are not a licensed professional in the relevant jurisdiction.

8. Liability cap

To the maximum extent permitted by applicable law, Brickfield's aggregate liability arising out of or relating to your use of the platform will not exceed the greater of (a) USD $100 or (b) the amounts you have actually paid to Brickfield in the twelve (12) months immediately preceding the event giving rise to the claim. In no event will Brickfield be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if Brickfield has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Brickfield and its officers, employees, and contractors from and against any third-party claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the platform or its outputs in connection with an investment decision, (b) your violation of these terms, or (c) your violation of any applicable law or the rights of a third party.

10. Termination

Brickfield may suspend or terminate your access to the beta platform at any time, with or without cause, and with or without notice. Upon termination, the use license granted in Section 2 ends immediately. Sections 4 (no-investment-advice disclaimer), 5 (outputs and AI limitations), 8 (liability cap), 9 (indemnification), and 11 (governing law and contact) survive termination.

11. Governing law and venue

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or your use of the platform will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
